Understanding the ASTM License Agreement

IMPORTANT- PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING THIS ASTM PRODUCT.
By acquiring a subscription and accepting these terms, you enter into a contract and confirm that you have read and understood this License Agreement and agree to be legally bound by its terms. If you do not agree to the terms, do not access the ASTM Product and promptly exit this page.

1. Ownership:
This Product is copyrighted by ASTM ("ASTM"), 100 Barr Harbor Drive, West Conshohocken, PA 19428-2959 USA, both as a compilation and individual standards, articles, and/or documents ("Documents"). All rights are reserved. You, as the Licensee, do not gain ownership or other rights in the ASTM Product or Documents. This arrangement signifies a license, hence, all rights, titles, and interests in the ASTM Product or Documents (whether in electronic or hard copy) belong to ASTM. You may not alter or remove the copyright or other notices contained within the ASTM Product or Documents.

2. Definitions:

A. Types of Licensees:

(i) Individual User:
A single unique computer with an individual IP address;

(ii) Single-Site:
A single geographic location or multiple sites within a single city that are part of a centrally administered organizational unit; for instance, various campuses of the same university located in the same city.

(iii) Multi-Site:
An organization or company with multiple independently administered locations within one city, or across different cities, states, or countries, with central administration for all locations.

B. Authorized Users:
Any individual who has subscribed to the ASTM Product; if a Site License, this includes registered students, faculty, staff members, or employees of the Licensee at the Single or Multiple Sites.

3. Limited License:
ASTM grants the Licensee a limited, revocable, nonexclusive, non-transferable license to access the subscribed ASTM Products via one or more authorized IP addresses. The terms and permitted uses under this Agreement are specified below.

A. Specific Licenses:

(i) Individual User:

(a) The right to browse, search, retrieve, display, and view the Product;

(b) The right to download, store, or print single copies of individual Documents or portions for the Licensee's personal use. Licensee may temporarily store an electronic file of a Document for viewing and/or print one copy of the Document for individual use. Neither the electronic file nor the printed copy may be reproduced. The electronic file cannot be distributed over networks or shared in any way. The printed copy may only be distributed internally within your organization. The downloaded Document may not be sold or otherwise distributed.

(ii) Single-Site and Multi-Site Licenses:

(a) The right to browse, search, retrieve, display, and view the Product;

(b) The right to download, store, or print single copies of individual Documents or portions for Authorized Users' personal use, and share such copies with other Authorized Users within the organization's computer network;

(c) Educational institutions may provide hard copies of individual Documents to individual students (Authorized Users) in a class;

(d) The right to display, download, and distribute hard copies of Documents for training Authorized Users or groups.

(e) Licensee will take necessary authentication and verification steps to ensure only Authorized Users access the ASTM Product.

(f) Licensee will provide ASTM with a list of authorized IP addresses and, if Multi-Site, a list of authorized sites.

B. Prohibited Uses:

(i) Any use not described as permitted is prohibited and constitutes a violation of this Agreement, leading to its immediate termination.

(ii) Authorized Users cannot make the Product or Documents available to anyone other than another Authorized User, by means like Internet links or by allowing access through their terminal or computer.

(iii) Without ASTM's prior written permission, it is strictly prohibited to: (a) distribute or forward any article, file, or material obtained from the ASTM Product; (b) reproduce or photocopy any standard, article, file, or material; (c) alter, modify, adapt, or translate any material from the ASTM Product; (d) create any derivative work based on any material from the ASTM Product; (e) impose charges for any material obtained from the ASTM Product beyond normal printing/copying costs; or (f) systematically download, archive, or centrally store substantial portions of the material from the ASTM Product. Inclusion of such materials in coursepacks, electronic reserves, or for distance learning use is not authorized by this License and requires ASTM's prior written permission.

(iv) The Product may not be used for commercial purposes, including the sale of Documents, materials, fee-for-service use, or bulk reproduction/distribution of Documents in any form.

C. Copyright Notice: All copies of material from an ASTM Product must clearly display the copyright notice on each standard, article, file, or material. Any modification, deletion, or obscuring of the copyright notice is prohibited.

4. Detection of Prohibited Uses:

A. Licensee is responsible for preventing prohibited uses and promptly notifying ASTM of any copyright infringements or prohibited uses. Licensee will cooperate with ASTM in investigating such prohibited uses and take reasonable steps to stop and prevent their reoccurrence.

B. Licensee shall use all reasonable efforts to protect the Product from unauthorized use and promptly inform ASTM of any misuse.

5. Continued Access to Product:
ASTM reserves the right to terminate this License upon written notice if the Licensee materially breaches the terms of this Agreement. If license fees are unpaid, ASTM will give the Licensee a 30-day period to rectify the breach, except for breaches likely to cause ASTM irreparable harm, such as those under Section 3. If the subscription ends, further access to the online database will be denied. For material breaches or prohibited uses, ASTM reserves the right to deny access to the ASTM Product at its sole discretion.

6. Delivery Formats and Service:

A. Certain ASTM Products use standard Internet HTML format. ASTM reserves the right to change such format upon three months' notice. Licensees and Authorized Users must obtain suitable Internet connections, browsers, and software licenses at their expense.

B. ASTM Products are also available in Adobe Acrobat (PDF) format. Licensees and Authorized Users are responsible for installing and configuring Adobe Acrobat Reader at their own expense.

C. ASTM strives to make online access available continuously, subject to periodic interruptions for maintenance, software installation, testing, file loading, and reasons beyond ASTM's control. ASTM does not guarantee access and will not be liable for damages or refunds if the Product becomes temporarily unavailable or if access is slow or incomplete due to system maintenance, Internet traffic, server requests overload, network failures, or other causes.

7. Terms and Fees:

A. The term of this Agreement is _____________ ("Subscription Period"). Access to the Product is allowed only for the Subscription Period. The Agreement will remain in effect for successive Subscription Periods as long as the annual subscription fees are paid. Either party can terminate this Agreement at the end of a Subscription Period with a 30-day written notice.

ASTM reserves the right to verify compliance with this Agreement at its own expense. This will be conducted by an independent consultant bound by a confidentiality agreement, during normal business hours. The Licensee agrees to allow access to relevant information and computer systems for this purpose, with at least 15 days' notice. If unlicensed or prohibited uses are discovered, the Licensee agrees to reimburse ASTM for verification costs and unlicensed/prohibited uses. This procedure does not waive ASTM's rights to enforce the Agreement or protect its intellectual property by other lawful means. ASTM may embed identifying or tracking information in the ASTM Products on the Portal.

9. Passwords:
Licensee must notify ASTM immediately of any unauthorized use or security breaches, including the theft or loss of passwords or any known unauthorized access. Licensee is solely responsible for maintaining passwords' confidentiality and ensuring authorized usage of the ASTM Product. Personal accounts/passwords must not be shared.

10. Disclaimer of Warranty:
Except as specified in this Agreement, all express or implied conditions, representations, and warranties, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, are disclaimed, except where these disclaimers are legally invalid.

11. Limitation of Liability:
To the extent permitted by law, ASTM will not be liable for any special, indirect, consequential, or punitive damages, loss, or lost data, however caused, arising from the use or download of ASTM Products or Documents. ASTM's liability will not exceed the Licensee's payment under this License Agreement.

12. General:

A. Termination:
This Agreement remains effective until terminated. The Licensee may terminate it at any time by destroying all Product copies (hard, digital, or media) and terminating all access to the ASTM Product.

B. Governing Law, Venue, and Jurisdiction:
This Agreement is governed by Pennsylvania's laws. The Licensee agrees to submit to the jurisdiction and venue of Pennsylvania's state and federal courts for any disputes. The Licensee waives any claim of immunity.

C. Integration:
This Agreement constitutes the entire agreement between ASTM and the Licensee regarding this subject matter. It supersedes all prior communications, proposals, representations, and warranties, and prevails over any conflicting or additional terms of any quote, order, acknowledgment, or other communication. Any modifications must be in writing and signed by an authorized representative of each party.

D. Assignment:
Licensee may not assign its rights under this Agreement without ASTM's written permission.

E. Taxes:
Licensee must pay any applicable taxes, other than taxes on ASTM's net income, arising from the use of the ASTM Product and rights under this Agreement.
